Ako Platform Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Agreement") govern your access and use of the Ako platform ("Platform"), provided by Wayland Labs Limited ("Company"), a registered entity in New Zealand with Business Number 94-29051500054. By using the Platform, you agree to be bound by these terms.

2. Subscription and Payment

2.1 Subscription Plans: The Platform offers various subscription plans, each with specific features and pricing. By selecting a plan and providing payment information, you agree to pay the specified fees according to your chosen plan.

2.2 Billing: Billing cycles are defined by the selected subscription plan. You authorize the Company to charge the applicable fees using the provided payment method. Late payments may result in service suspension or termination.

3. Automatic Renewal and Cancellation

3.1 Automatic Renewal: Subscriptions will automatically renew at the end of each billing cycle unless canceled before the renewal date.

3.2 Cancellation: You may cancel your subscription at any time. No refunds will be provided for cancellations during an active billing cycle. You will have access to the Platform until the end of the current billing period.

4. User Accounts

4.1 Account Creation: You are responsible for creating and maintaining the security of your user account. You agree to provide accurate and complete information during registration.

4.2 Account Sharing: Accounts must not be shared between individuals or entities such as companies or organizations. Each account is intended for individual use only.

4.3 Security: You are responsible for safeguarding your account credentials. Any activity conducted through your account is your responsibility.

5. Usage Rights and Restrictions

5.1 Permitted Use: The Platform is licensed for your personal or business use according to your subscription plan.

5.2 Prohibited Use: You may not use the Platform for any illegal, unauthorized, or disruptive purposes. You may not modify, reverse engineer, or distribute the Platform without prior written consent from the Company.

6. Data Privacy and Security

6.1 Data Collection: The Company collects and uses personal information in accordance with its Privacy Policy, available on the Ako website.

6.2 Security: The Company employs reasonable security measures to protect user data, but cannot guarantee absolute security.

7. Support and Maintenance

The Company will provide customer support according to the selected subscription plan. Maintenance and downtime will be communicated in advance whenever possible.

8. Warranties and Disclaimers

The Platform is provided "as is" without warranties of any kind. The Company does not guarantee the Platform's accuracy, availability, or suitability for specific purposes.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages arising from the use or inability to use the Platform.

10. Termination

The Company reserves the right to terminate your access to the Platform for violation of these terms or any other reason at its sole discretion.

11. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of New Zealand.

12. Amendments and Modifications

The Company reserves the right to modify or update these terms at any time. Changes will be communicated through the Platform or via email. Continued use of the Platform constitutes acceptance of the updated terms.

13. Free Trial and Misuse

13.1 Free Trial: A free trial of the Platform may be available, subject to certain restrictions and limitations. The Company reserves the right to modify or terminate free trials at its discretion.

13.2 Misuse: Misuse of the Platform, including violations of these terms or any unauthorized or improper use, will not be tolerated. The Company reserves the right to take appropriate actions, including suspending or terminating accounts.

14. User-Generated Content and DMCA

Users may upload content to the Platform. DMCA infringement notices should be sent to [email protected] for prompt attention.

Wayland Labs Limited's registered office is located at 28 Wilkin Road, Wanaka, Otago 9305, New Zealand.

16. Intellectual Property

Logos, branding, and trademarks associated with the Platform are the exclusive property of Wayland Labs Limited and may not be used without explicit permission.
